The article examines the different legal instruments that can be used to prevent or resolve a structural deadlock caused by a dispute between the shareholders in a situation of equal power \/ control between them. As often there is an equilibrate situation between the shareholders, in order to protect the position of minority and majority ones, the company could lead to a definitive and unsurpassed deadlock.
