Andersen and FCA Bank: merger cross-border operation in Spain and Germany
Andersen assisted FCA Bank with a team led by the partner Maricla Pennesi, Tax Coordinator for Europe and Italy, and the partner Marco Giorgi, head of the Banking and Finance department of the law firm and expert in banking, regulatory and corporate aspects, in the transformation of its Spanish and German subsidiaries into branches.
One year after the reorganization of its French and Portuguese branches, FCA Bank SpA incorporates FCA Capital España and FCA Bank Deutschland with a complex restructuring operation, through a cross-border merging process. All the assets of the two companies have been allocated to the newly established Spanish and German branches of FCA Bank.
The cross-border operation also involved the participation of Andersen Spain and Andersen Germany. The project was coordinated in Madrid by the partners Javier Cubillo and Miguel Prado Gangoiti, while in Cologne the works were led by the partner Thomas Koch and of counsel Timo Kläner.
